AMENDED

ARTICLES OF INCORPORATION

OF

UNITED STATES ARMY BLACK AVIATION ASSOCIATION, INC.

We hereby associate to form a non-stock corporation under the provisions of Chapter
2 of Title 13.1 of the Code of Virginia and to that end set forth the following:

ARTICLE I

The Name of the corporation is UNITED STATES ARMY BLACK AVIATION ASSOCIATION, INC.

ARTICLE II

The organization was conceived to:
(a)    Promote, support and encourage minorities to pursue educational and professional goals in the field of aviation.
(b)
    Develop scholarships and student aid programs that are sufficiently varied to provide youths the opportunity to become aviators, engineers, navigators, technicians or other aviation specialists,
(c)
  Enroll as many members as possible to increase the support base of the organization and   provide maximum funds for the achievement of the organization's goals,

ARTICLE III

This Corporation has been formed as a nonprofit corporation and shall not distribute the gains, profits or dividends to the members thereof.

ARTICLE IV

This Corporation is organized exclusively for charitable, educational, religious or scientific purposes, within the meaning of Section 50l(c)(3) of the Internal Revenue Code.
Notwithstanding any other provision of these articles, this organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from Federal income tax under section 50l(c){3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).
